PLEASE CAREFULLY READ THESE TERMS OF SERVICE IN THEIR ENTIRETY BEFORE ACCESSING OR USING THIS SITE OR OUR SERVICES.

The terms “we,” “us,” “our,” and “Company” refer to Danielle Doerksen operating as AgRoster, based in the Province of Alberta, Canada. The terms “user,” “you,” and “your” refer to site visitors, account holders, and purchasers of our Services, including both farm operators and agricultural workers. These Terms of Service (“Terms” or “Agreement”) govern your use of and access to our website and any associated websites, applications, or emails (collectively “Site”) and your use or purchase of our Services.

The term “Service” or “Services” shall include all features and functionality provided by AgRoster, including but not limited to farm and worker profiles, job postings, worker roster access, job applications, connection requests, email notifications, and digest reports.

IF YOU ACCESS OR USE ANY PART OF THIS SITE, OR PURCHASE, ACCESS, OR USE ANY OF OUR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS CONTAINED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THIS SITE OR ACCESS OR USE ANY SERVICES PROVIDED BY US.

Section 1: Platform Nature and Disclaimers

Technology Platform Only. AgRoster is a technology platform that connects farm operators with agricultural workers. AgRoster is not an employment agency, staffing firm, recruiter, or employer of any kind. We do not employ, supervise, direct, or control any worker using our platform, and we do not place workers with farms. All hiring decisions are made solely by farms and workers.

No Employment Agency Services. AgRoster does not provide employment agency services. We are not responsible for any hiring decision made by any farm operator, the conduct or performance of any worker, the accuracy of any worker profile or farm listing, or employment outcomes of any kind resulting from connections made through our platform.

No LMIA Services. AgRoster does not provide, assist with, or facilitate Labour Market Impact Assessment (LMIA) applications or any immigration-related services of any kind. Nothing on our platform should be construed as immigration advice or assistance. Farm operators are solely responsible for ensuring they comply with all applicable employment, immigration, and labour laws when hiring through AgRoster.

Informational Purposes Only. The information provided through our Services, including worker profiles, job postings, and connection features, is provided for informational and operational purposes only. You should not rely solely on AgRoster information when making hiring or employment decisions. The Company does not and will not provide any form of legal, employment, or professional advice.

Assumption of Risk. You use this Site and our Services at your own risk. We are not responsible or liable for any harm or damages arising from any connection, hiring decision, employment relationship, or other outcome resulting from use of our platform.

Section 2: General Provisions

We reserve the right to refuse service to anyone for any reason at any time.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.

Age Requirements. Our Site, Content and Services are directed solely to persons who are 18 years of age or older. You must be at least 18 years of age to gain access to our Site and Services.

Severability. If any term or provision in this Agreement is found to be unlawful, void or unenforceable, then that term or provision will be deemed severable from this Agreement and will not affect the validity or enforceability of the remaining terms and provisions.

Prompt Enforcement. The failure of either party to promptly enforce this Agreement or any of its terms shall not be deemed to be a waiver of enforcement or implied modification of the Agreement.

Termination. We reserve the right, in our sole discretion, to immediately terminate your use of or access to our Site or Services for any reason. We may revoke your access without notice for serious violations of these Terms.

Account Creation. You are required to provide your email address and create a password to use our Services. You agree that any registration information you give to the Company will always be accurate, correct, and up to date. You are responsible for keeping your account login credentials secure and for all activity that occurs under your account. If you suspect any unauthorized use of your account or any security breach, you agree to notify us immediately at support@agroster.ca and change your password.

Email Communications. By creating an account with AgRoster, you consent to receiving electronic communications from us, including digest emails, job alerts, connection notifications, and service updates. You can opt out of non-essential emails at any time by clicking the unsubscribe link or by adjusting your notification preferences in your account Settings. Non-promotional emails related to your account, billing, or security may still be sent.

Sale of Business or Assets. In the event that the Company or substantially all of its assets are sold or disposed of as a going concern, information we have collected about you may be one of the assets transferred. We will notify you before this happens.

Entire Agreement. This Agreement, which includes these Terms of Service and our Privacy Policy, constitutes the entire agreement between us and you as it relates to your use and access to our Site and Services.

Incorporation of Privacy Policy. The Company respects the privacy of its users. Please refer to our Privacy Policy at agroster.ca/privacy, which explains how we collect, use, and disclose information that pertains to your privacy and which is incorporated herein by reference.

Force Majeure. Neither Party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in performing any obligation under these Terms when such failure or delay is caused by or results from causes beyond the reasonable control of the affected Party, including but not limited to fire, floods, embargoes, war, acts of war, insurrections, riots, strikes, pandemics, epidemics, national emergencies, server-related issues such as data breaches or cloud storage disturbances, power outages, disruptions to internet services, or acts of God (“Force Majeure Events”).

Section 3: Worker Accounts and Profiles

Worker Profiles Are Free. Creating and maintaining a worker profile on AgRoster is always free of charge. Workers are never charged for browsing job postings, applying to jobs, or connecting with farms through our platform.

Profile Approval. Worker profiles are subject to review and approval by AgRoster before becoming visible to farm operators. We reserve the right to decline or remove any profile that does not meet our standards, at our sole discretion.

Profile Sharing Consent. By creating a worker profile and completing the approval process, you consent to your profile information — including your work history, skills, certifications, location, and availability — being made visible to farm operators subscribed to AgRoster. Your full contact details (email address and phone number) are only shared with a farm operator after a mutual connection is established or after you submit a job application to that farm. You may control your name visibility through the show_name setting in your profile.

Resume Data. Any resume or document you upload to AgRoster is stored securely and shared only with farm operators with whom you have applied for a position or established a mutual connection. We do not share your resume with any third parties outside of these circumstances.

Profile Accuracy. You are solely responsible for the accuracy, completeness, and truthfulness of all information in your worker profile. AgRoster makes no representations regarding the accuracy of worker profiles and is not responsible for any consequences arising from inaccurate profile information.

Section 4: Farm Accounts and Subscriptions

Farm Subscription Plans. Farm operators may access our Services through the following subscription plans (prices in CAD, plus applicable taxes):

  • Roster Access — $97.00/month: Browse and connect with approved workers in our roster. View worker profiles, send connection requests, post one active job listing every 30 days, and manage applications.
  • Seasonal Access — $397.00 / 6 months (one-time payment): Includes all Roster Access features plus unlimited active job listings, priority placement in search, and a 6-month season of access.

Billing. By subscribing, you authorize the Company and its payment processor, Stripe, to charge your credit card or debit card. Roster Access subscribers are billed on a monthly basis commencing on the subscription start date; the billing cycle continues at monthly intervals until cancelled. Seasonal Access is a one-time payment covering a 6-month period with no automatic renewal.

Cancellation. You may cancel your subscription at any time through your account Settings. Your cancellation will take effect at the end of the then-current billing period. You will continue to have access to all subscribed Services until the end of that billing period.

No Refund Policy. All subscription fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused service periods.

Price Changes. We reserve the right to change our subscription pricing at any time. We will provide you with at least thirty (30) days written notice by email before any price changes take effect.

Taxes. Prices are listed in Canadian dollars (CAD). GST/HST and any other applicable Canadian taxes will be added to your subscription fee where required by law.

Payment Terms. By providing payment information, you authorize AgRoster and Stripe to charge your card in the amount owed. You represent and warrant that you have the legal right and authority to use the payment method provided.

Section 5: Rules of Conduct

By using our Site and Services, you agree to adhere to the following Rules of Conduct. Whether conduct violates our Rules of Conduct will be determined in our sole discretion.

No Illegal Activity: You may not use the Site or Services for any illegal activity, including any conduct that violates any applicable federal, provincial, local, or international law or regulation.

No Fraud: Fraudulent activities in any capacity are strictly prohibited. This includes creating false worker profiles, fake farm accounts, or misrepresenting your qualifications, experience, or operational details.

No Discrimination: You may not use our platform to discriminate against workers or farms on the basis of race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity, marital status, family status, disability, or any other protected ground under applicable Canadian human rights legislation.

No Harassment: You may not use our platform to harass, intimidate, threaten, or harm any other user.

No Bad Conduct: You may not transmit viruses, worms, or any other harmful code, or modify, reverse engineer, frame, mirror, or adapt any portion of the Site or Services.

No Spamming: You may not use our Site or Services to send unsolicited messages or engage in any spam activities.

No Exploitation: You may not collect other users’ personal information without our express consent. You may not license, sell, resell, transfer, or exploit your use or access to the Site or Services.

No Data Mining or Bots: You may not use any data mining, robots, or similar data gathering or extraction methods.

No Unauthorized Data Processing: You may not use our Services to process personal data of individuals whose data you do not have the legal right to collect, store, or process under applicable privacy laws including PIPEDA and Alberta PIPA.

Section 6: Intellectual Property

This Site and its Content are protected by the copyright laws of Canada. You understand that the Company owns the Site, Services, and all Content, which constitute our intellectual property.

We grant you one limited, non-assignable, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Services subject to this Agreement.

You agree to not use, copy, frame, mirror, link to or make similar use of any part of our Site or Services without our express written consent.

AgRoster™ and all related names and assets are the intellectual property of Danielle Doerksen operating as AgRoster. Any unauthorized use, reproduction, or distribution is strictly prohibited and may result in legal action under applicable Canadian trademark law.

Section 7: Third-Party Links and Services

Our Site or Services may contain links to other websites or third-party services. These links are provided for convenience only. We do not endorse or verify the accuracy of information contained on third-party websites.

Our Services integrate with the following third-party services: Stripe (payment processing), Supabase (database), Resend (email delivery), and Vercel (hosting). Your use of these integrated services is also subject to their respective terms of service and privacy policies.

Section 8: Errors, Inaccuracies and Omissions

Occasionally there may be information on or in our Site or Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct these at any time without prior notice. We disclaim all liability for any inaccuracies, errors, or omissions.

Section 9: Indemnification

You agree to defend, indemnify, and hold harmless the Company, its representatives, affiliates, and agents from and against any and all claims, losses, costs, damages, liabilities, and expenses (including attorney’s fees) arising from: your activities in connection with our Site or Services; your violations of these Terms; your use of our platform to make hiring or employment decisions; any claims that your profile or postings infringe intellectual property, privacy, or other third-party rights; any violations of applicable employment, human rights, immigration, or privacy laws; or any unlawful or illegal conduct engaged by you in connection with the use of our Site or Services.

Section 10: Disclaimers of Warranties and Limitation of Liability

Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE PROVINCE OF ALBERTA AND APPLICABLE FEDERAL LAWS OF CANADA, IN NO EVENT SHALL THE COMPANY, ITS REPRESENTATIVES AND/OR AGENTS, ITS PROVIDERS OR OTHER THIRD-PARTIES BE LIABLE FOR ANY DAMAGE WHATSOEVER RESULTING FROM OR RELATED TO YOUR USE OF OR ACCESS TO OUR SITE OR SERVICES, INCLUDING ANY HIRING DECISIONS, EMPLOYMENT OUTCOMES, OR WORKER CONDUCT ARISING FROM CONNECTIONS MADE THROUGH OUR PLATFORM. IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO AGROSTER IN THE THREE (3) MONTHS PRIOR TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Disclaimer of Warranties. WITHOUT LIMITING THE FOREGOING, THIS SITE AND SERVICES ARE PROVIDED TO YOU “AS IS” AND THE COMPANY SPECIFICALLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ACCESS TO THIS SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

We reserve the right to modify or discontinue, either temporarily or permanently, the Site and Services at any time, without notice. We will not be liable to you or third-parties for any such modification, termination, or discontinuance.

Section 11: Your Data and Intellectual Property

You retain full ownership of all content you upload or provide to AgRoster, including your worker profile, resume, and any job postings (“Your Data”). You grant AgRoster a limited, non-exclusive, non-transferable license to access, store, and display Your Data solely for the purpose of providing the Services to you and to other users of the platform as described in these Terms. This license terminates upon deletion of your account.

You are solely responsible for ensuring that all content you provide complies with applicable laws, including privacy laws, human rights legislation, and employment standards legislation.

AgRoster owns all rights, title, and interest in and to the Services, including all software, algorithms, interfaces, and documentation. These Terms do not transfer any intellectual property rights to you.

Section 12: Governing Law

PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND THE COMPANY HAVE AGAINST EACH OTHER ARE RESOLVED.

Governing Law. Any disputes arising out of or related to these Terms, including our Site and Services, shall be governed and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, regardless of principles or conflicts of law.

Jurisdiction/Venue. Any disputes arising out of or related to these Terms, including our Site and Services, shall be brought within the Province of Alberta, Canada.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE SOLELY BETWEEN YOU AND THE COMPANY. YOU AGREE TO WAIVE THE RIGHT TO LITIGATE IN COURT OR ARBITRATE ANY CLAIM OR DISPUTE AS A CLASS ACTION.

Claim Limitations. To the fullest extent permitted by law, you agree that any claim or cause of action arising out of or related to your use of the Services must be filed within one (1) year after such claim or cause of action arose.

Agreement to Arbitrate. You agree that any dispute or claim arising out of or relating to your use of the Site or Services will be resolved exclusively through final and binding arbitration in the Province of Alberta, in accordance with the Arbitration Act (Alberta) and the rules of the ADR Institute of Canada, except that either party may bring a qualifying claim in small claims court.

Consumer Protection. Nothing in these Terms is intended to limit or exclude any rights you may have under the Alberta Consumer Protection Act or other applicable consumer protection legislation.

Section 13: Termination

This Agreement remains in effect while you access or use any part of our Services. We may, at our sole discretion, suspend or revoke your access to our Services, or terminate this Agreement at any time and for any reason, including if you violate any part of this Agreement.

If this Agreement is terminated: your right to access or use the Services will end immediately; farm subscription fees are non-refundable for any remaining billing period; and all provisions of this Agreement that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Section 14: Changes to Terms

We reserve the right to change, modify, revise or amend these Terms of Service at any time. Should any material changes occur, we will notify you via email at least thirty (30) days before the changes take effect. Your continued access and/or use of our Services following the effective date of the updated Terms constitutes your acceptance of those changes.
